B&N PRO Membership & B&N PRO Tablet & Scanner Add-On Service Terms and Conditions

This B&N PRO Membership and/or B&N PRO Tablet & Scanner Add-On Service Agreement ("Agreement") is entered into by and between Online Fastener Group LLC (BoltsandNuts.com) ("Company," "we," "us," or "our") and the member ("Customer," "you," or "your").

By enrolling in or using the B&N PRO Membership and/or B&N PRO Tablet & Scanner Add-On, you agree to be bound by the following terms and conditions.

1. Membership Service & Payment

A. Service Details

B&N PRO is a recurring paid membership provided by Online Fastener Group LLC (BoltsandNuts.com). The service provides a 10% discount on most items sold on BoltsandNuts.com, subject to applicable exclusions.

The B&N PRO Tablet and Scanner Add-on includes the rental of a hardware bundle (the "Devices") consisting of:
• One (1) Bluetooth Barcode Scanner
• One (1) Tablet with the Company’s proprietary application preinstalled

B. Fees and Renewal

B&N PRO Membership
• Monthly Membership Fee: $18.99 per month
• Annual Membership Fee: $205.09 per year (10% discounted rate)
• Membership automatically renews at the end of each billing cycle (monthly or annually) unless canceled prior to renewal

B&N PRO Tablet & Scanner Add-On
• Monthly Add-On Fee: $11.00 per month
• Annual Add-On Fee: $132.00 per year
• Add-On automatically renews at the end of each billing cycle unless canceled prior to renewal

C. Payment and Cancellation Policy

• Grace Period: Payments are due on the renewal date. A three (3) day grace period is provided after the due date.
• Late Fee: If payment is not received within the grace period, a flat $5.00 late fee will be charged to the payment method on file.
• Service Cancellation for Non-Payment: If payment, including any applicable late fees, is not received within eight (8) days of the original due date, the Company may cancel the Membership and/or Add-On service.

D. Member Discount Benefit

Active B&N PRO Members receive a 10% discount on most products sold on BoltsandNuts.com.

• Discount applies only while membership is active and in good standing
• Discount exclusions may apply. A current list is available on the B&N PRO Membership page at BoltsandNuts.com
• The Company reserves the right to update exclusions at any time

2. Device Ownership, Usage, and Condition

A. Ownership

Devices provided under the B&N PRO Tablet & Scanner Add-On remain the exclusive property of Online Fastener Group LLC (BoltsandNuts.com) at all times.

B. Condition and Maintenance

Devices are provided to the Customer in good working condition. The Customer is responsible for:
• Safekeeping, charging, and routine maintenance of the Devices
• Ensuring Devices are kept in a secure and non-hazardous environment
• Maintaining a stable Wi-Fi connection, which is required for full functionality

C. Prohibited Uses

Devices are provided solely for use with the Company’s pre-installed application. The Customer agrees not to:
• Reverse engineer, modify, or alter the Devices or software
• Install unauthorized applications on the Tablet
• Transfer, sublease, or lend the Devices to any third party

D. Warranty Disclaimer

THE DEVICES AND PRE-INSTALLED APPLICATION ARE PROVIDED "AS IS." ONLINE FASTENER GROUP LLC (BOLTSANDNUTS.COM) DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

3. Device Return and Replacement Costs

A. Damage to Devices

If a Device is damaged while in the Customer’s possession, the Customer is responsible for replacement costs:
• Tablet Replacement Fee: $150.00
• Scanner Replacement Fee: $60.00

B. Return Equipment Requirement

Upon cancellation of the B&N PRO Tablet & Scanner Add-On:
• Devices must be returned to the Company
• Return must be postmarked within sixty (60) days of cancellation
• Failure to return devices will result in automatic charges:
• $150.00 for Tablet
• $60.00 for Scanner

C. Return Shipping Responsibility

The Customer is responsible for all return shipping costs associated with device returns.

4. Legal Provisions

A. Governing Law

This Agreement is governed by the laws of the State of Ohio.

B. Limitation of Liability

ONLINE FASTENER GROUP LLC (BOLTSANDNUTS.COM) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE.

C. Indemnification

The Customer agrees to indemnify and hold harmless the Company from any claims arising from misuse of the Services or breach of this Agreement.

D. Dispute Resolution (Binding Arbitration)

Any disputes arising under this Agreement shall be resolved through binding arbitration in Lake County, Ohio. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

E. Data Use and Privacy

The Customer acknowledges that system usage may involve operational and ordering data, which is handled in accordance with the Company’s Privacy Policy.

F. Force Majeure

The Company is not liable for delays or failure to perform due to events beyond reasonable control.

G. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

H. Headings

Headings are for convenience only and do not affect interpretation.
